1. Introduction

These Terms and Conditions (“Terms”) govern your use of the Glender Circle website and platform (“the Circle,” “the platform”), operated by ASMAR Records (“we,” “us,” “our”). By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

The Circle is a membership-based platform offering music streaming, digital downloads, exclusive content, and community features. These Terms apply to all users, including free account holders, paying members, and visitors.

2. Eligibility

You must be at least 16 years old to create an account. By registering, you represent that you are at least 16 years of age. If you are under 18, you confirm that you have obtained parental or guardian consent to use the platform and enter into these Terms.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate and complete information during registration and keep it up to date. We reserve the right to suspend or terminate accounts that provide false information, share credentials, or engage in abusive behavior.

You may not create multiple free accounts to bypass content access limits. One person, one account.

4. Membership & Subscriptions

4.1 Membership Levels

The Circle offers the following membership levels, which may be updated from time to time:

• Free — access to public content, previews, and community features.
• Circle — full access to the premium catalog, exclusive content, early releases, and member-only experiences. Current price: €5.99/month.
• Collector — all Circle benefits plus download access to WAV/FLAC files, exclusive editions, and priority access. Current price: €11.99/month.
• Founding Member — limited launch offer with lifetime pricing benefits and exclusive digital content. Availability and terms of the founding membership are defined at launch.

4.2 Billing & Payment

All payments are processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the start of each billing period. Prices are listed in Euros (€) and include applicable VAT where required by law. We reserve the right to adjust pricing with 30 days’ notice. Price changes will be communicated via email.

4.3 Automatic Renewal

Monthly subscriptions automatically renew at the end of each billing period unless cancelled. Your payment method will be charged on the renewal date. If a payment fails, we will retry for a limited period before suspending access. You will be notified of any failed payments and given the opportunity to update your payment method.

4.4 Cancellation

You may cancel your subscription at any time from your account billing page. Cancellation takes effect at the end of the current billing period. You will retain full access until that date. No partial refunds are provided for unused time in a billing period, unless required by law.

4.5 Cooling-Off Period

Under EU consumer law, digital content subscriptions are exempt from the standard 14-day cooling-off period once streaming or downloading has begun. By subscribing and accessing member content, you acknowledge that you lose your right of withdrawal.

5. Digital Products & Purchases

5.1 General

In addition to subscriptions, the Circle offers digital products for individual purchase (“Downloads”), including but not limited to WAV files, FLAC files, MP3 files, digital artwork, and bundles. All digital product purchases are final and non-refundable, except where required by applicable law.

5.2 License

When you purchase a digital product, you receive a non-exclusive, non-transferable, personal license to download and listen to the content for personal, non-commercial use. You may not:

• Redistribute, resell, or share purchased files publicly.
• Upload purchased files to streaming platforms, file-sharing services, or social media.
• Use purchased content in commercial projects, public performances, broadcasts, or derivative works without a separate commercial license.
• Remove, alter, or obscure any metadata, copyright notices, or watermarks embedded in the files.

5.3 Delivery

Digital products are delivered via secure download links accessible from your account library. Download links are limited to a reasonable number of attempts to prevent abuse. If you exceed the download limit, contact us to reactivate access.

5.4 Lifetime Access

Purchased content remains accessible in your library even if you cancel your membership subscription. You do not need an active subscription to access content you have purchased outright.

6. Content & Intellectual Property

6.1 Ownership

All content available on the Circle, including but not limited to audio recordings, compositions, videos, artwork, text, graphics, logos, and software (“Content”), is owned by Glender, ASMAR Records, or its licensors. All rights not expressly granted in these Terms are reserved.

6.2 Streaming Access

Streaming access to Content is provided as a service and does not constitute ownership of the Content. Your ability to stream Content depends on your active membership level. Content availability, catalog, and access levels may change over time.

6.3 User-Generated Content

If the Circle offers community features (comments, forums, profile pages), you retain ownership of content you post but grant us a worldwide, royalty-free, non-exclusive license to display and distribute it within the platform. You are solely responsible for the content you post and must not post content that is illegal, infringing, defamatory, or harmful.

7. Acceptable Use

You agree not to:

• Use the platform for any illegal purpose or in violation of any applicable law.
• Share your account credentials with others or allow others to use your account.
• Attempt to circumvent content access restrictions, download protected streaming content, or bypass technical protection measures.
• Use automated tools (bots, scrapers, scripts) to access, download, or extract content from the platform.
• Upload malicious code, attempt to compromise platform security, or interfere with the platform’s operation.
• Engage in harassment, hate speech, or abusive behavior toward other members or platform staff.
• Impersonate Glender, ASMAR Records, or any other person or entity.

8. Termination & Suspension

We reserve the right to suspend or terminate your account, without refund, if you violate these Terms. We will make reasonable efforts to notify you before taking action, but may act immediately in cases of serious abuse, security threats, or legal requirements. Upon termination, your access to all platform features and content will cease. Purchased content will remain accessible in accordance with Section 5.4.

You may delete your account at any time from your profile settings. Account deletion is permanent and irreversible. Any active subscription will be cancelled and no refund will be provided for the remaining billing period. Purchased content will no longer be accessible after account deletion.

9. Platform Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The platform may be unavailable during maintenance, upgrades, or events beyond our reasonable control. We will make reasonable efforts to schedule maintenance during low-traffic periods and to notify members in advance of planned downtime exceeding 30 minutes.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Circle is provided “as is” and “as available” without warranties of any kind, express or implied.
• We are not liable for indirect, incidental, special, or consequential damages arising from your use of the platform.
• Our total liability for any claim arising from these Terms or your use of the platform is limited to the amount you paid us in the 12 months preceding the claim, or €100, whichever is higher.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded by law.

11. Indemnification

You agree to indemnify and hold harmless ASMAR Records, Glender, and their affiliates, directors, employees, and contractors from any claims, damages, or expenses arising from your violation of these Terms, your misuse of the platform, or your infringement of third-party rights.

12. Copyright & DMCA

We respect intellectual property rights. If you believe content on the Circle infringes your copyright, please contact us at info@circle.glenderdj.com with the following information:

• A description of the copyrighted work you claim has been infringed.
• The URL or specific location of the allegedly infringing material.
• Your contact information (name, address, email, phone).
• A statement that you have a good-faith belief the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

13. Governing Law & Disputes

These Terms are governed by the laws of Portugal. Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to the competent courts of Portugal. As a consumer, you may also benefit from mandatory consumer protection provisions applicable in your country of residence.

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email and a notice on the platform at least 30 days before they take effect. For changes that do not materially affect your rights, continued use of the platform after posting constitutes acceptance. If you do not agree with the updated Terms, you must cancel your subscription and stop using the platform.

15. Miscellaneous

These Terms constitute the entire agreement between you and ASMAR Records regarding your use of the Circle. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign or transfer your rights under these Terms without our written consent.
